These terms are in force. We may update them, and if we do we’ll email you at least 30 days before any change takes effect. Anything you’ve already earned stays under the terms it was earned under.

Vividly Keeper terms

These terms are between you and Resonating Ventures LLC, a Florida limited liability company doing business as Vividly, with its principal address at 851 E Ten Mile Rd, Pensacola, FL 32514 (“Vividly”, “we”, “us”). They cover sharing Vividly with your own link and being paid for it. They sit alongside Vividly’s terms of service and privacy policy, which still apply to anything you buy.

You accept them by ticking “I’m 18 or over, I’ve read this, and I’ll include the disclosure” and pressing “Show me my link”. Until you do, your link does not work.

1. What a Keeper is

A Keeper shares Vividly with their own link, and is paid a share of what the people who use it spend.

You are an independent contractor, not an employee. You are not our agent or partner, you cannot make promises or agreements for us, and you do not speak for Vividly. You choose whether, when and how you share, within these terms. We do not pay your expenses. You are responsible for your own taxes.

There is no downline. You are paid only on what the people you referred buy, never on what anyone they go on to refer buys. Nobody is paid for bringing in other Keepers, and there are no ranks, levels or titles.

Nothing to buy. You never have to buy anything to be a Keeper or to be paid. Every customer gets a link automatically, but anyone can ask for one at vividly.family/keepers.

You must be 18 or over. This is a contract and a payment relationship. Before you accept, the box you tick says so: “I’m 18 or over, I’ve read this, and I’ll include the disclosure.”

2. Your link

  • Your link is the only thing that counts. It is a vividly.family address with a short code of its own, which we choose.
  • When someone uses your link, we remember it in their browser for 60 days. If they make their first purchase within those 60 days, they become your referral. If they used more than one Keeper’s link, the last one before their first purchase counts.
  • Once someone is your referral, they stay yours for the time in section 4.
  • What does not count:
    • someone who never used your link;
    • a coupon or code on its own;
    • someone who found Vividly by searching for it;
    • anyone who had already bought from Vividly before they used your link;
    • anyone whose browser did not keep the link, for example on another website address, or after 60 days.
  • One link per person. You may not use another Keeper’s link, pass yours off as someone else’s, or make more than one Keeper account.

3. What you earn

You earn a percentage of the money we actually collect from your referral, before any tax. A $79 first year pays on $79.

  • Only a referral’s first new Line counts toward these numbers. A Line, Family Line or Voice File counts once it has passed its hold. Renewals, restarts, sessions and interviews earn, but do not count.
  • A higher rate starts on the day you reach it, and applies from then on. It does not change anything already earned.
  • If refunds or chargebacks take you back below a threshold, your rate goes down only after you have been below it for 60 days, and from then on.

4. Two years, not for life

You earn on a referral for two years from their first purchase: their first year and one renewal. That includes anything else they buy in those two years that section 3 lists. After two years, nothing more is earned on that referral.

5. What never pays

  • Your own purchases, and purchases from your household. We treat a purchase as your household’s if it shares your payment account, email address, card or address. Where the match is less than certain, we look at it before deciding.
  • Given Line referrals, and veteran nominations. They are not sales, and we do not pay for them to anyone.
  • Veteran interviews that Vividly pays for.
  • Anything refunded or charged back (section 7).
  • The first month of a monthly Line.
  • Anyone who did not use your link (section 2).

If your work has its own rules about referrals (health care, law, finance, or anything else), following them is your responsibility, not ours. We cannot know who you know through work.

6. When you are paid

Nothing is paid until the time in which it could be refunded has passed:

That way, what you are paid is money we have actually kept.

7. Refunds, chargebacks and clawbacks

  • Refunded before it is paid to you: what you would have earned on it is cancelled, and the referral does not count toward your rate.
  • Refunded or charged back after it is paid to you: the amount you were paid on it becomes a negative balance, taken off what you earn next. If you were paid it as credit, the negative balance is the cash amount, not the credit amount.
  • We never send you a bill, and never ask you to pay it back. If you never earn enough again to cover it, it stays on your account and is written off.
  • If we win a chargeback, what you earned on it is restored, and paid on the next payday.

8. Getting paid: cash or credit

Cash is the default. To be paid in cash, add payout details in your Keeper area.

  • Payday is the first Monday of the month, once you have at least $25 waiting. Below that it carries over. If you would rather be paid weekly, you can switch to that in your Keeper area, and then payday is every Monday.
  • Tax forms. When your first payment is due, you set up a payout account with Stripe, who collect your bank details and your tax information directly. We never hold them. If your payments in a calendar year reach the threshold set by the IRS, we issue you a 1099 through Stripe.

Or take it as credit. Credit is worth 1.5× the cash amount, and it pays for your own Vividly purchases.

  • Credit never expires.
  • Credit is never paid out as cash, cannot be transferred, and can only be spent on Vividly.
  • If you have not bought anything yet, credit waits in your account until you do.
  • You can switch between cash and credit whenever you like. The change applies from the next payday.
  • Credit is applied every Monday, with no minimum.

If you never add payout details:

  1. We remind you 30 days after your first earnings become payable.
  2. We remind you again at 55 days.
  3. At 60 days, your payable balance converts to credit, at 1.5× the cash amount, and from then on you are paid in credit.

To go back to cash, add payout details and choose cash. Credit that has already been converted stays credit.

9. Stripe

Stripe pays you, on our behalf. When your first payment is due, you set up an account with Stripe and accept their agreement, separately from this one. They hold your bank and tax details, and you see your payments in the account they give you. If you take your earnings as credit instead, none of this applies.

10. Saying that you earn

Every post, message or page where you share your link must say that you earn, close to the link. Use this line:

I may earn a commission if you buy through my link.

It isn’t optional. It is the law, not our preference. The Share Studio puts it under every post for you. If you share the link any other way, add it yourself.

11. Sharing it well

Share it honestly. Say what Vividly is: a phone number for our stories, nobody answers, every call recorded and written out, works on any phone.

Never:

  • promise that the Library of Congress will accept anything;
  • say that a person answers the phone;
  • tell anyone what they will earn, or show what you have earned;
  • invent a testimonial, or speak for a storyteller;
  • share someone else’s recordings or voice without their agreement. Share only what is yours, or what the storyteller has agreed you can share;
  • use countdowns, “act now”, or fear;
  • aim a pitch at someone in hospice care, or at an older person as a target. That includes ads or posts aimed at seniors, cold calls and door-to-door;
  • run ads on searches for “Vividly” or anything like it, or ads that look like ours;
  • post your link on coupon or deal sites;
  • send email or texts to people who have not asked to hear from you;
  • pretend to be Vividly, run an account that looks official, or use our logo as your own;
  • quote prices other than the ones on our site, or say anything about other companies’ products or prices.

Your own story is the best thing you can share. Play a recording you made, show a page of your own book, say what it was like to hear it. The Share Studio gives you posts that are already right; use them, or write in the same spirit.

12. Pausing, and closing an account

Pausing.

  • We can pause your link if it is used in a way that misleads someone, or that breaks section 10 or 11. We will tell you why, and talk to you.
  • You can pause it yourself at any time, and turn it back on.
  • While your link is paused, nobody new becomes your referral through it. Everyone who already is stays yours, and what you have earned is still paid, including everything that passes its hold while the link is paused.

Closing an account. Either of us can close your Keeper account. It is a clean break, with nothing owed either way:

  • We pay out what is payable, by your chosen method, including any cash balance under $25.
  • Earnings still in their hold period on the day your account closes are paid once their hold passes. You earned them; the hold is only there in case of a refund. This does not apply to a closing for fraud (below).
  • No commission is earned on anything your referrals buy after that day.
  • Your referrals are left alone. They are Vividly’s customers, and nothing changes for them.
  • A negative balance is written off (section 7).
  • Credit you have already been given stays yours to spend.

Fraud or deliberate deception. If we close your account because you used your link fraudulently or deliberately deceived someone, we may void your unpaid earnings, including those still in hold. Anything already paid to you is never clawed back.

13. Vividly’s customers

The people who buy through your link are Vividly’s customers. We look after them: their accounts, their recordings, their questions, their refunds.

  • You never see who they are. For each referral, your Keeper area shows only the date, what was bought, and your commission. No names and no email addresses. Our customers never agreed to have their purchase shown to whoever shared a link.
  • You do not get their personal details or any access to their accounts or recordings through being a Keeper.
  • Do not make promises to them on our behalf about prices, refunds, service or anything else. Send them to us.

14. Changes to these terms

We may change these terms, including rates. We will email you at least 30 days before a change takes effect. A change applies only from the day it takes effect, never backwards: anything you have already earned, or that is in its hold period, stays under the terms it was earned under. You will be asked to accept the new version before your link works again.

15. If you stop

You can stop being a Keeper at any time by closing your account (section 12), or by telling us. It is the same clean break: what is payable is paid, nothing more is earned after that day, and your referrals are left alone.

16. The rest

  • Your posts are your responsibility, including following the law where you share them.
  • Our liability to you under these terms is limited to the total you earned as a Keeper in the 12 months before the claim. We are not liable for indirect losses, including earnings you say you would have made.
  • Governing law. These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising out of these terms will be brought in the state or federal courts located in Escambia County, Florida, and both sides consent to the jurisdiction of those courts.
